Khairunnisa Khalid (“Nisa”) is a Partner of Zharif Nizamuddin and heads the Firm’s Banking, Finance & Real Estate Practice Group. She is also a key member of the Corporate Commercial Practice Group, where she advises clients on a broad range of transactional, financing and commercial matters.

Nisa’s practice focuses on mergers and acquisitions, joint ventures, private investments, government procurement and tender exercises, venture capital and private equity regulatory matters, as well as banking, financing and real estate transactions. She regularly advises corporations, investors, developers, financial institutions, family offices and high-net-worth individuals on structuring and executing transactions that require a careful balance of commercial objectives, legal risk and regulatory compliance.

A versatile practitioner with experience spanning both corporate and real estate matters, Nisa is particularly recognised for her ability to manage complex transactions involving multiple stakeholders while maintaining a practical and solutions-oriented approach. Her practice includes advising on acquisitions and disposals of businesses and assets, investment and shareholder arrangements, financing and security documentation, property acquisitions, development projects, refinancing exercises and strategic real estate investments.

Having been with Zharif Nizamuddin since 2014 and a Partner since 2017, Nisa has played an integral role in the growth of the Firm’s Corporate Commercial and Real Estate practices. She has advised clients across a diverse range of industries, including financial services, energy, infrastructure, real estate, consumer products, healthcare, technology and food and beverage.

Prior to joining Zharif Nizamuddin, Nisa began her legal career with Messrs Shook Lin & Bok, where she developed her foundation in banking, finance and corporate transactions. She advised on matters relating to a Sukuk Musyarakah Programme with an aggregate value of up to RM15 billion and assisted in the structuring and documentation of Bai Istisna’ financing facilities for Malaysian corporations. Her experience also included advising on mergers and acquisitions, corporate exercises and commercial transactions involving both domestic and cross-border stakeholders.

She subsequently joined Messrs Mohanadas Partnership, where she played an instrumental role in establishing and leading the firm’s Corporate Commercial and Conveyancing practice. During her tenure, she advised on franchise and licensing arrangements, government procurement exercises, commercial contracts, corporate restructurings and strategic business transactions. Her notable experience includes assisting with franchise expansion initiatives for a rapidly growing food and beverage brand in Southeast Asia and advising on procurement documentation for projects involving a subsidiary of Tenaga Nasional Berhad.

As part of the Firm’s continued growth strategy, Nisa also works closely with clients in the media, entertainment and creative industries, advising on commercial arrangements, intellectual property exploitation, production-related agreements and strategic collaborations.

Nisa was admitted as an Advocate and Solicitor of the High Court of Malaya in 2010. She holds a Bachelor of Legal Studies (Hons) and a Bachelor of Laws (Hons) from Universiti Teknologi MARA. She remains actively connected to her alma mater through her involvement with the Malay Girls College and Tunku Kurshiah College alumni community.
